1. Acceptance of terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you", "user", "customer" or "partner") and Saral E-Commerce Private Limited ("Saral", "Company", "we", "us" or "our"). By accessing our website, visiting our counters, or using any of our Services, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

2. Definitions

• "Services" means our electricity/utility bill collection, recharge and bill-payment services, recharge/payment API, DTH & telecom distribution, and sale of smartphones & electronics via stores and marketplaces.
• "Biller/Operator" means a third-party entity such as an electricity distribution company (e.g. UPPCL), DTH operator or telecom operator to whom a payment or recharge is directed.
• "Transaction" means any bill payment, recharge, order or API request initiated through the Services.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872. By using the Services, you represent that you meet these requirements and that all information you provide is true, accurate and complete.

4. Our services

Saral acts as a facilitator that enables payments, recharges and purchases. For bill payments and recharges, we transmit your payment to the relevant Biller/Operator; we are not the utility, operator or manufacturer and do not control their tariffs, service quality, plans or delivery. For product sales, we sell genuine devices either directly or through third-party marketplaces subject to their respective policies. We may add, modify or discontinue any Service at our discretion.

5. Accounts & information accuracy

You are responsible for providing correct details for every Transaction, including consumer/account numbers, mobile numbers, operator names, amounts and delivery addresses. Transactions are processed based on the information you supply. Saral is not liable for payments applied incorrectly due to inaccurate information provided by you. Where you hold an account or wallet with us, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

6. Charges, pricing & payments

Applicable service or convenience fees, product prices and taxes (including GST) will be displayed before you confirm a Transaction. Prices for products are subject to change and to availability. Payments are processed through third-party payment gateways and banking partners; by transacting, you also agree to their terms. You agree to pay all charges incurred in connection with your Transactions.

7. Bill payment & recharge terms

• Bill amounts are fetched from the Biller/Operator and may not reflect very recent adjustments, credits or dues.
• Once submitted, a bill payment or recharge is typically processed immediately and may not be cancellable.
• Posting of a payment to your account with the Biller/Operator is subject to their systems and timelines; your transaction reference is proof of the payment made through Saral.
• Saral is not responsible for disconnection, penalties, or service issues arising from the Biller/Operator's own processes.
• References to UPPCL, its DISCOMs, DTH brands and telecom operators are solely to identify the payment or recharge service facilitated; such names remain the property of their respective owners.

8. Refunds & cancellations

If an amount is debited but a Transaction fails or does not complete, the amount is generally auto-reversed to the source instrument within the timelines specified by the payment processor or bank (commonly 5–7 working days). For successful bill payments and recharges credited to the correct account, refunds are ordinarily not available. For product orders, cancellations, returns and refunds are governed by the applicable store or marketplace policy under which the purchase was made. To report a failed or disputed Transaction, contact us with your transaction reference.

9. Product sales & warranty

Smartphones and electronics sold by us are genuine and, where applicable, carry the manufacturer's standard warranty. Warranty claims are subject to the manufacturer's terms and authorised service network. Product images, specifications and colours are indicative and may vary. We are not liable for manufacturing defects beyond facilitating the applicable manufacturer warranty. Where products are purchased via third-party marketplaces, those platforms' returns, delivery and warranty policies apply.

10. Retailer & API partner terms

Retailers, distributors and API partners may be subject to additional agreements, onboarding and KYC requirements. Partners must: keep their credentials and wallet secure; use the API and tools only for lawful, authorised transactions; not exceed usage or rate limits; and comply with all applicable laws and operator rules. We may suspend or terminate partner access for breach, suspected fraud, or non-compliance. Commissions, settlement and wallet terms will be as separately communicated.

11. Prohibited use

You agree not to:

• Use the Services for any unlawful, fraudulent or unauthorised purpose, including money laundering or financing prohibited activities;
• Provide false information or impersonate any person or entity;
• Attempt to gain unauthorised access to, disrupt, or reverse-engineer our systems or API;
• Use automated means to abuse, overload or scrape the Services; or
• Infringe the intellectual property or other rights of Saral or any third party.

12. Intellectual property

All content on our website — including the Saral name, logo, text, graphics, illustrations, layout and software — is owned by or licensed to Saral E-Commerce Private Limited and is protected by applicable intellectual-property laws. You may not copy, reproduce, distribute or create derivative works without our prior written consent. Third-party brand names and logos referenced remain the property of their respective owners.

13. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free or entirely secure, or that bill amounts fetched from Billers/Operators are always current or accurate. Your use of the Services is at your own risk.

14. Limitation of liability

To the maximum extent permitted by law, Saral, its directors, employees and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising out of or relating to your use of the Services. In all cases, Saral's total aggregate liability for any claim arising out of a Transaction shall not exceed the amount of the specific Transaction (excluding taxes and third-party charges) giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Saral E-Commerce Private Limited and its directors, officers, employees and partners from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

16. Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to the grievance and dispute-resolution provisions below, the courts at Lucknow, Uttar Pradesh shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or the Services.

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
